StrataNova provides data analytics and software tools designed to help investment professionals analyze portfolio allocations, benchmark against peer firms, and identify thematic exposures across proprietary theme classifications.
StrataNova is a data analytics and software provider only. StrataNova is not a registered investment adviser, broker-dealer, commodity trading adviser, or financial planner under any applicable federal or state law. Nothing on the Site or Platform constitutes investment advice, a recommendation to buy or sell any security, or an offer to provide investment management services of any kind. All investment decisions are solely the responsibility of the user.
By accessing or using the Site or Platform in any way — including browsing the Site, viewing a demo, registering for an account, or subscribing to the Platform — you ("User") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms applicable to specific features or services. These Terms constitute a legally binding agreement between you and StrataNova.
If you are accessing the Site or Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and version number above and, where appropriate, by notifying you via email. Your continued use of the Site or Platform following notice of any changes constitutes your acceptance of the updated Terms.
The Site and Platform are intended for use by investment professionals, including registered investment advisers, portfolio managers, and other financial industry professionals. By using the Site or Platform, you represent and warrant that:
Access to the Platform for paying subscribers is governed by a separate Subscription Agreement entered into between StrataNova and the subscribing firm. In the event of a conflict between these Terms and a Subscription Agreement, the Subscription Agreement shall control with respect to the subject matter covered therein.
StrataNova may make a limited interactive demonstration of the Platform ("Demo") available to prospective clients. The Demo is provided solely for evaluation purposes and does not represent the full functionality of the Platform. StrataNova reserves the right to modify, limit, or discontinue Demo access at any time without notice.
If you are provided with account credentials to access the Platform, you are responsible for maintaining the confidentiality of your login information and for all activity that occurs under your account. You agree to notify StrataNova immediately at jack@stratanova.io if you become aware of any unauthorized use of your account. StrataNova shall not be liable for any loss or damage arising from your failure to maintain the security of your credentials.
All content on the Site and Platform, including without limitation the software, algorithms, data models, theme classifications, methodologies, reports, analytics outputs, text, graphics, logos, and all other materials (collectively, "StrataNova Content"), is the exclusive property of StrataNova or its licensors and is protected by applicable intellectual property laws. No rights are granted to you except as expressly set forth in these Terms or a Subscription Agreement.
Subject to these Terms, StrataNova grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Platform solely for your own internal investment analysis and evaluation purposes. You may not:

Where a User submits portfolio allocation data to the Platform, including ticker selections, percentage weights, or model portfolio compositions ("Client Portfolio Data"), StrataNova agrees to the following restrictions:
Past performance data and thematic exposures shown on the Platform are not indicative of future results. StrataNova makes no representation that any investment strategy, portfolio, or security identified through the Platform is suitable for any particular investor or purpose.
The Platform incorporates data sourced from third parties, including public regulatory filings (SEC Form 13F, Form ADV), licensed market data providers, and other publicly available sources. StrataNova does not independently verify all third-party data and makes no representation as to its accuracy, completeness, or timeliness. StrataNova shall not be liable for any errors or omissions in third-party data or for any actions taken in reliance thereon.
The Site may contain links to third-party websites or services. StrataNova does not endorse and is not responsible for the content, privacy practices, or terms of any third-party site. Your use of third-party sites is at your own risk.
You agree to indemnify, defend, and hold harmless StrataNova and its members, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the Site or Platform in violation of these Terms; (ii) your violation of any applicable law or regulation; (iii) any content or data you submit to the Platform; or (iv) any claim that your use of the Platform infringes or misappropriates any third-party right.
Your use of the Site and Platform is subject to StrataNova's Privacy Policy, which is incorporated into these Terms by reference and available at stratanova.io/privacy. By using the Site or Platform, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.
StrataNova reserves the right to suspend or terminate your access to the Site or Platform at any time, with or without cause, and with or without notice, including without limitation if StrataNova believes you have violated these Terms. Upon termination, all licenses granted to you under these Terms immediately cease. Sections 5, 7, 9, 10, 11, 14, and 15 shall survive termination of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal proceeding arising out of or relating to these Terms that is not subject to arbitration shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.
The parties agree to attempt to resolve any dispute through good faith negotiation for a period of thirty (30) days before pursuing other remedies. Any unresolved dispute shall be subject to binding arbitration in accordance with the rules of the American Arbitration Association. Notwithstanding the foregoing, StrataNova may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
These Terms, together with the Privacy Policy and any applicable Subscription Agreement, constitute the entire agreement between you and StrataNova with respect to the subject matter hereof and supersede all prior agreements and understandings.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
StrataNova's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign these Terms or any rights or obligations hereunder without StrataNova's prior written consent. StrataNova may assign these Terms without restriction in connection with a merger, acquisition, or sale of substantially all of its assets.
All notices to StrataNova under these Terms shall be sent to jack@stratanova.io. StrataNova may provide notices to you via email or by posting on the Site.
StrataNova shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including without limitation acts of God, natural disasters, pandemic, war, terrorism, labor disputes, power failures, or internet outages.
Nothing in these Terms shall be construed to make StrataNova an investment adviser or to create any fiduciary duty between StrataNova and any user.
